1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MembrLab LLC ("Company," "we," "us," or "our") governing your access to and use of the Kasapi website, platform, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

• You are not prohibited from using the Service under applicable laws
• If using on behalf of an organization, you have authority to bind that organization to these Terms

3. Description of Service

Kasapi is a community engagement platform that enables organizations to create branded mobile applications for their members. The Service includes:

• Website and informational content
• Contact and inquiry forms
• Platform access for registered organizations (when available)
• Mobile applications for community members
• Administrative tools and dashboards

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. Account Registration

4.1 Account Creation

To access certain features of the Service, you may need to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

5. Subscriptions and Payment

5.2 Billing

7. User Content

You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Service.

7.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with these Terms and applicable laws

7.3 Content Moderation

We reserve the right, but have no obligation, to monitor, review, and remove User Content at our sole discretion. We may remove content that violates these Terms or that we find objectionable.

8. Intellectual Property

8.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by MembrLab LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any content

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMBRLAB LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Any damages arising from your use or inability to use the Service

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless MembrLab LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings (when available).

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Conduct that we determine is harmful to other users or the Service
• Extended periods of inactivity
• Request by law enforcement or government agencies

13.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• Provisions of these Terms that by their nature should survive will survive termination

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved as follows:

• Informal Resolution: Before filing any formal legal action, you agree to contact us at support@kasapiapp.com to attempt to resolve the dispute informally.
• Jurisdiction: If informal resolution fails, any legal action shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.

14.3 Class Action Waiver

To the extent permitted by law, you agree to resolve any disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the revised Terms on our website
• Updating the "Last updated" date at the top
• Sending you an email notification (for registered users)

Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MembrLab LLC regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
